Terms of Service

Please read these Terms of Service ("Terms") carefully before using the Field Report platform, mobile application, and related services (collectively, the "Service") operated by Field Report LLC, a Rhode Island limited liability company ("Company," "we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms.
1. Definitions
"Client" means the organization that has entered into a subscription agreement or Statement of Work with Field Report LLC to use the Service.
"Authorized User" means any individual granted access to the Service by a Client, including administrators, field representatives, and brand ambassadors.
"Client Data" means all data submitted to the Service by or on behalf of a Client, including activity reports, product feedback, inventory records, photographs, and user information.
"Platform" means the Field Report software-as-a-service application, including the mobile application, web dashboard, API, and all related infrastructure.
2. Service Description
Field Report provides a cloud-based platform for consumer packaged goods (CPG) companies and brands to capture, manage, and analyze field marketing data. The Service includes a mobile application for field data collection, administrative tools for user and program management, and dashboards for real-time reporting and analytics.
3. Account Registration and Security
3.1. Client accounts are provisioned by Field Report LLC as part of the onboarding process outlined in the applicable Statement of Work.
3.2. Authorized User accounts are created by the Client administrator through the Platform or by Field Report LLC during initial setup.
3.3. You are responsible for maintaining the confidentiality of your login credentials. You agree to notify us immediately of any unauthorized use of your account.
3.4. You must not share your credentials with any third party. Each Authorized User must use their own unique credentials to access the Service.
3.5. We reserve the right to suspend or terminate any account that we reasonably believe has been compromised or is being used in violation of these Terms.
4. Subscription and Payment
4.1. Access to the Service requires a paid subscription as outlined in the applicable Statement of Work or order form between the Client and Field Report LLC.
4.2. Fees are based on the subscription tier selected and the number of Authorized Users who access the Platform during a given billing period, as defined in the applicable agreement.
4.3. Platform fees are invoiced in accordance with the payment terms set forth in the applicable Statement of Work. Unless otherwise specified, payment is due within thirty (30) days of invoice date.
4.4. All fees are exclusive of applicable taxes. Client is responsible for all taxes, levies, and duties imposed by taxing authorities.
4.5. Field Report LLC reserves the right to modify pricing with sixty (60) days written notice prior to the next renewal period.
5. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable law or regulation.
- Attempt to gain unauthorized access to any portion of the Service, other accounts, or systems connected to the Service.
- Interfere with or disrupt the integrity or performance of the Service or the data contained therein.
- Upload or transmit any viruses, malware, or other harmful code through the Service.
- Reverse engineer, decompile, or disassemble any aspect of the Service.
- Use the Service to store or transmit content that infringes on the intellectual property rights of any third party.
- Resell, sublicense, or make the Service available to any third party without our prior written consent.
- Use automated scripts or bots to access the Service except through our published API endpoints with valid authentication.
6. Data Ownership and Intellectual Property
6.1. Client Data
The Client retains all right, title, and interest in and to Client Data. Field Report LLC does not claim ownership of any Client Data submitted to the Service.
6.2. License to Client Data
By submitting Client Data to the Service, the Client grants Field Report LLC a limited, non-exclusive license to use, process, store, and display Client Data solely for the purpose of providing and improving the Service.
6.3. Aggregated Data
Field Report LLC may use anonymized, aggregated data derived from Client Data for purposes of improving the Service, generating benchmarks, and conducting research. Such aggregated data will not identify any individual Client or Authorized User.
6.4. Platform IP
The Service, including all software, algorithms, interfaces, documentation, and underlying technology, is and remains the exclusive property of Field Report LLC. These Terms do not grant the Client any rights to our intellectual property except the limited right to use the Service during the subscription term.
6.5. Feedback
Any suggestions, ideas, or feedback provided by the Client or Authorized Users regarding the Service may be used by Field Report LLC without restriction or obligation.
7. Data Protection and Security
7.1. Field Report LLC implements commercially reasonable administrative, technical, and physical safeguards to protect Client Data, including encryption in transit and at rest, access controls, and regular security assessments.
7.2. Client Data is hosted on Google Cloud Platform infrastructure located in the United States. We use industry-standard security practices including, but not limited to, encrypted database connections, credential management through Google Secret Manager, and role-based access controls.
7.3. In the event of a data breach affecting Client Data, Field Report LLC will notify the affected Client without unreasonable delay and in accordance with applicable law.
7.4. Additional data protection terms may be set forth in a Data Processing Agreement between Field Report LLC and the Client.
8. Multi-Tenant Data Isolation
8.1. The Service operates as a multi-tenant platform. Each Client's data is logically isolated from other Clients' data through application-level controls and database-level access restrictions.
8.2. Field Report LLC maintains safeguards to prevent unauthorized cross-tenant data access, including tenant-specific API routing and scoped database queries.
9. Service Availability
9.1. Field Report LLC will use commercially reasonable efforts to maintain the availability of the Service. However, we do not guarantee uninterrupted or error-free operation.
9.2. Scheduled maintenance will be performed during off-peak hours when possible, and we will provide reasonable advance notice to Clients.
9.3. Field Report LLC will not be liable for any downtime caused by circumstances beyond our reasonable control, including but not limited to: acts of God, Internet service disruptions, third-party service failures, or force majeure events.
10. Term and Termination
10.1. These Terms remain in effect for the duration of the Client's subscription as specified in the applicable Statement of Work.
10.2. Either party may terminate the subscription in accordance with the termination provisions set forth in the applicable Statement of Work or Master Service Agreement.
10.3. Upon termination, the Client may request export of their Client Data within thirty (30) days. After this period, Field Report LLC may delete Client Data from active systems in accordance with our data retention policies.
10.4. Field Report LLC may suspend or terminate access immediately if the Client or any Authorized User materially breaches these Terms.
10.5. Sections 6, 11, 12, 13, and 14 shall survive termination of these Terms.
11. Limitation of Liability
11.1. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, FIELD REPORT LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO THE USE OF THE SERVICE.
11.2. FIELD REPORT LLC'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS SHALL NOT EXCEED THE TOTAL FEES PAID BY THE CLIENT TO FIELD REPORT LLC DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
11.3. THE LIMITATIONS IN THIS SECTION APPLY REGARDLESS OF THE THEORY OF LIABILITY, WHETHER BASED IN CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE.
12. Indemnification
12.1. The Client agrees to indemnify, defend, and hold harmless Field Report LLC and its officers, directors, employees, and agents from and against any claims, losses, damages, liabilities, and expenses (including reasonable attorney's fees) arising out of or related to: (a) the Client's use of the Service in violation of these Terms; (b) Client Data or any content submitted by the Client or its Authorized Users; or (c) the Client's violation of any applicable law or regulation.
13. Governing Law and Dispute Resolution
13.1. These Terms shall be governed by and construed in accordance with the laws of the State of Rhode Island, without regard to its conflict of law provisions.
13.2. Any dispute arising out of or relating to these Terms shall first be submitted to good-faith mediation. If mediation is unsuccessful, the dispute shall be resolved by binding arbitration in the State of Rhode Island in accordance with the rules of the American Arbitration Association.
13.3. Nothing in this section shall prevent either party from seeking injunctive or equitable relief in a court of competent jurisdiction to protect its intellectual property rights or confidential information.
14. General Provisions
14.1. Entire Agreement
These Terms, together with any applicable Statement of Work, Master Service Agreement, and Data Processing Agreement, constitute the entire agreement between the parties regarding the subject matter hereof.
14.2. Modifications
Field Report LLC reserves the right to modify these Terms at any time. We will provide at least thirty (30) days' notice of material changes. Continued use of the Service after the effective date of any modification constitutes acceptance of the revised Terms.
14.3. Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.
14.4. Waiver
The failure of either party to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.
14.5. Assignment
The Client may not assign or transfer these Terms without the prior written consent of Field Report LLC. Field Report LLC may assign these Terms in connection with a merger, acquisition, or sale of substantially all of its assets.
